Terms of Service for Cookie SEM

§1. Service Provider details and contact
- The owner and operator of the Cookie SEM service (hereinafter: “Service”) is Grupa Damian ZiÄ™ba, with its registered office at ul. Sandomierska 4A, 37-300 Leżajsk, Poland, Tax ID (NIP): 7941720919 (hereinafter: “Service Provider”).

§2. Definitions
Terms used in these Terms of Service shall have the following meanings:
- Service – the Cookie SEM online platform available at cookiesem.com, enabling management of website user consents (Consent Management Platform – CMP).
- User – a natural person, legal entity, or organizational unit without legal personality that uses the Service.
- Consumer – a User who is a natural person performing a legal act not directly related to their business or professional activity.
- Entrepreneur with consumer rights – a natural person entering into a contract directly related to their business activity, where the content of the contract indicates that it does not have a professional character for that person (Art. 3855 of the Polish Civil Code).
- Account – an individual User account in the Service, protected by a login and password.
- Organization – an entity (company or individual) created in the Service, within which websites, team members, and subscriptions are managed.
- Service (as a product) – a service provided electronically by the Service Provider through the Service, in particular making the CMP widget available, cookie scanning, consent registry, and reporting.
- Plan – a service package selected by the User, defining limits (number of websites, page views, team members) and available features.
- Subscription – an agreement for the provision of the Service for a defined period (monthly or annually) with automatic renewal.
- CMP Widget – a JavaScript code element provided by the Service, displaying a cookie consent banner on the User's website.
- Terms of Service – this document.
- Business day – Monday through Friday, excluding public holidays.
- Durable medium – a material or tool enabling the storage of information in a way that allows future access (including email).
§3. General provisions
- These Terms of Service define the rules for using the Service, including: creating an Account, entering into service agreements, ordering Subscriptions, making payments, withdrawal from the contract, filing complaints, and data protection.
- The Terms of Service are made available free of charge at cookiesem.com/terms in a form that allows downloading, saving, and printing.
- Use of the Service constitutes acceptance of these Terms of Service.
- The Service Provider provides Services in accordance with the Terms of Service and applicable Polish and European law, in particular the GDPR (Regulation (EU) 2016/679 of the European Parliament and of the Council).
§4. Technical requirements and use of the Service
- To use the Service, the following are required:
- A device with Internet access
- An up-to-date web browser (Chrome, Firefox, Safari, Edge)
- JavaScript and cookies enabled
- An active email address
- The CMP Widget requires placing a JavaScript code snippet on the User's website. Detailed implementation instructions are available in the customer panel.
- The User is obligated to use the Service in accordance with the law, the Terms of Service, and good practices. Providing unlawful content is prohibited.
- The contract for the provision of electronic services (free access to the Service) is concluded for an indefinite period and may be terminated by either party without giving reasons.
§5. User Account
- Account registration is voluntary and free of charge.
- During registration, the User is required to provide true and current information.
- The User is responsible for maintaining the confidentiality of Account login credentials.
- One Account may be associated with one or more Organizations.
- The User may delete their Account at any time by contacting the Service Provider at: contact@cookiesem.com. Deleting the Account does not affect the validity of obligations arising before deletion.
§6. Scope of Services and contract conclusion
- The Service provides services in the following areas:
- Managing user consent for cookies and tracking technologies (Consent Management Platform – CMP)
- Scanning websites to automatically detect cookies and tracking technologies
- Generating and displaying cookie consent banners compliant with GDPR, ePrivacy, and IAB TCF 2.2
- Maintaining a registry of user consents (consent records)
- Integration with Google Consent Mode v2
- Geo-targeting – adjusting banner behavior based on user location
- A/B testing of banner configurations
- Consent reporting and analytics
- Handling DSAR (Data Subject Access Request) requests – data export and deletion in accordance with Articles 15, 17, and 20 of the GDPR
- Generating cookie declarations and privacy policies
- Integration via API and webhooks
- The detailed scope of services and limits depends on the selected Plan. The current Plan offerings are available at cookiesem.com/pricing.
- Subscription orders can be placed 24 hours a day, 7 days a week through the customer panel.
- Before placing an order, the User receives a summary including: Plan name, billing period, net and gross price (including VAT), and total amount due.
- The service agreement (Subscription) is concluded upon order confirmation and payment.
§7. Prices, payments, and invoices
- Plan prices listed in the Service are gross prices (including 23% VAT), unless explicitly stated otherwise.
- The Service Provider reserves the right to change Plan prices. Price changes do not apply to Subscriptions already paid for the current billing period.
- Available payment methods:
- Credit/debit card (Visa, Mastercard) – via Stripe
- Bank transfer
- Other methods made available in the customer panel
- A VAT invoice is issued upon the User's request. The User agrees to receive invoices electronically to the provided email address.
- For Subscriptions with automatic renewal, the fee is charged automatically at the beginning of each billing period.
§8. Discount coupons
- The Service Provider may offer discount codes (coupons) entitling the holder to a Subscription discount.
- A coupon can be applied during the ordering process by entering the code in the “Coupon code” field.
- Coupons may have restrictions regarding: validity period, maximum number of uses, minimum order value, and selected Plans.
- Coupons cannot be combined with each other unless the coupon terms state otherwise.
- The Service Provider reserves the right to cancel a coupon in case of violation of its terms of use.
§9. Trial period
- Paid Plans may offer a free trial period, the duration of which is specified in the Plan description.
- During the trial period, the User has access to the full functionality of the selected Plan.
- After the trial period ends, the Subscription is automatically activated and the fee is charged according to the selected billing period, unless the User cancels beforehand.
- The User may cancel the trial period at any time without incurring any costs.
§10. Withdrawal from the contract
- Consumers and Entrepreneurs with consumer rights have the right to withdraw from a distance contract within 14 days of concluding the contract, without giving any reason.
- To exercise the right of withdrawal, the User must inform the Service Provider of their decision by means of a clear statement sent to: contact@cookiesem.com.
- In the event of withdrawal from the contract, the Service Provider shall refund all payments received without undue delay, no later than 14 days from the date of receiving the withdrawal statement.
- The refund shall be made using the same payment method used by the Consumer, unless the Consumer has expressly agreed to a different method of refund.
- The right of withdrawal does not apply if the Service Provider has fully performed the Service with the express consent of the Consumer, who was informed before the commencement of the service that they would lose the right of withdrawal upon full performance (Art. 38(1) of the Polish Consumer Rights Act).
§11. Cancellation and modification of Subscription
- The User may cancel their Subscription at any time through the customer panel.
- After cancellation, access to paid features is maintained until the end of the paid billing period.
- The User may upgrade their Plan at any time. In case of an upgrade during a billing period, a proportional surcharge (prorata) is applied.
- Downgrading to a lower Plan is possible at the end of the current billing period.
- In case of non-payment for Subscription renewal, access to paid features is blocked after the billing period expires. User data is retained for 90 days from the expiration date.
§12. Liability and Service availability
- The Service Provider makes every effort to ensure that the Service operates continuously and without errors.
- The Service Provider commits to Service availability at the level specified in the selected Plan (SLA), if the Plan includes an availability guarantee.
- The Service Provider is not liable for:
- Interruptions caused by force majeure, planned maintenance (of which Users will be notified in advance), or actions of third parties
- Incorrect implementation of the CMP widget code by the User
- Content published by the User on their websites
- Damages resulting from use of the Service contrary to the Terms of Service
- Actions or omissions of payment service providers
- The Service Provider's liability to Users who are not Consumers is limited to the amount of fees paid by the User in the 12 months preceding the event causing the damage.
§13. Intellectual property and license
- All rights to the Service, including source code, software, graphics, logos, texts, and documentation, belong to the Service Provider and are protected by copyright law.
- Upon conclusion of the service agreement, the User receives a non-exclusive, non-transferable, time-limited license to use the Service and the CMP widget within the scope defined by the selected Plan.
- The license includes the right to:
- Place the CMP widget on the User's websites
- Use the customer panel
- Use the API within the scope defined by the Plan
- The following is prohibited: copying, modifying, decompiling the CMP widget source code, reselling access to the Service to third parties (except for agency/white-label Plans), and removing or modifying the “Powered by Cookie SEM” label (except for Plans with the white-label option).
§14. Personal data protection
- The controller of Users' personal data is the Service Provider.
- Detailed information regarding the processing of personal data is contained in the Privacy Policy.
- The Service Provider processes personal data in accordance with the GDPR and the Polish Personal Data Protection Act.
- To the extent that the Service Provider processes personal data of visitors to the User's websites (consent data, IP addresses, cookie identifiers), it acts as a Data Processor on the basis of a Data Processing Agreement (DPA). The processing terms constitute an integral part of these Terms of Service and are available upon request.
§15. Complaints
- Complaints regarding the operation of the Service should be submitted to: contact@cookiesem.com.
- A complaint should include: User data (first name, last name, or company name, email address), description of the problem, date of occurrence, and expected resolution.
- The Service Provider will process the complaint within 14 days of receipt.
- The response to the complaint will be sent to the User's email address.
§16. Out-of-court dispute resolution
- Consumers have the right to use out-of-court complaint and redress mechanisms, including:
- Contacting a municipal or district consumer ombudsman
- Submitting a request for dispute resolution to a permanent consumer arbitration court at the Provincial Inspectorate of Trade Inspection
- Using the ODR (Online Dispute Resolution) platform available at: https://ec.europa.eu/consumers/odr
- A list of institutions dealing with out-of-court consumer dispute resolution is available on the UOKiK website: https://polubowne.uokik.gov.pl.
§17. Final provisions
- These Terms of Service enter into force on March 11, 2026.
- The Service Provider reserves the right to amend the Terms of Service for important reasons, in particular: changes in legislation, changes in the Service offerings, technical changes to the Service, or organizational changes on the Service Provider's side.
- Users will be notified of changes to the Terms of Service by email at least 14 days in advance. Continued use of the Service after the changes take effect constitutes acceptance thereof.
- Matters not regulated by these Terms of Service shall be governed by the provisions of Polish law, in particular the Civil Code, the Act on Providing Services by Electronic Means, and the Consumer Rights Act.
- The contract is concluded in the Polish language.
- Any disputes arising from the use of the Service shall be resolved by the court having jurisdiction over the Service Provider's registered office, provided that in the case of disputes with Consumers, the jurisdiction of the court shall be determined by general provisions.
